2027 FEMS Exhibition Terms & Conditions

The following Terms and Conditions (“Terms”) apply to exhibitors exhibiting at FEMS MICRO 2027: Congress & Exhibition. The 2027 Exhibition will take place from 5–8 July 2027 at GR - Ljubljana Exhibition & Convention Centre in Ljubljana, Slovenia (the “Venue”).

TERMS & CONDITIONS

  1. DEFINITIONS AND INTERPRETATION 

Booking Form” means the online booking form completed by the Exhibitor to book an Exhibition Stand.  

Contract” means the contract for the Exhibition Stand entered into by the Exhibitor and the Organiser, which incorporates these Terms - and the Booking Form completed by the Exhibitor. The Contract specifically excludes all other documents, proposals, terms and conditions, including those presented by the Exhibitor to the Organiser.  

Event” means FEMS MICRO 2027: Congress & Exhibition taking place on 5 – 8 July 2027.  

Exhibition Opening Hours” means the hours on which the Exhibition Stands are open for the Event as communicated by the Organiser. 

Exhibition Stand” means the particular stand or space allocated to the Exhibitor at the Venue.  

Exhibitor” means the company, partner, firm or individual named as an exhibitor in the Booking Form, including its employees, agents and subcontractor.  

Fees” means the fees payable to the Organiser by the Exhibitor in order to secure and retain an Exhibition Stand at the Event.  

Organiser” means Federation of European Microbiological Societies (FEMS), with registered address, Federation of European Microbiological Societies, Salisbury House, Station Road, Cambridge, CB1 2LA, United Kingdom and business office address, Van Leeuwenhoekpark 1, 2611 DW, Delft, The Netherlands.  

  1. CONTRACTING PARTY AND ORGANISER AND CONTRACTOR OF THE FEMS EXHIBITION

The Event is held and hosted by the Organiser.  

The Organiser reserves the sole right to render all interpretations, amend (on provided written notice to the Exhibitors) and enforce these Terms to assure the general success of the Event. Each Exhibitor, for themselves, their employees, and their contractors, agrees to abide by these Terms and by any amendments or additions hereafter made by the Organiser.  

The Exhibitor warrants that it shall comply with all applicable laws, regulations, guidelines and policies, including but not limited to those provided at clause 15 of these Terms, and any other policies, rules, regulations or guidance provided to the Exhibitor prior to or during the Event, whether by the Organiser or by the Venue staff.  

In the event of any failure on the part of the Exhibitor to observe and perform any of these Terms, the Organiser shall have the right to immediately terminate the Contract by written notice to the Exhibitor, and all Fees paid by the Exhibitors shall be forfeited and retained by the Organiser.  

  1. APPLICATIONS AND CONCLUSION OF CONTRACT 

An Exhibitor can only book an Exhibition Space via the Booking Form. The Organiser will take bookings for Exhibitors between 1 June 2026 up until 1 June 2027 or when all the Exhibition Stands have been allocated.  

Submission of a Booking Form constitutes an offer by the Exhibitor to purchase an Exhibition Stand in accordance with these Terms. The offer to purchase an Exhibition Stand shall be accepted when the Organiser issues written acceptance (whether or not it is received) or when the Organiser issues an invoice in accordance with clause 5.1 of these Terms, at which point the Contract shall come into existence. The Organiser reserves the right in its sole discretion to refuse to accept a Booking Form.  

The Exhibitor shall promptly and without due delay provide the Organiser with any information relating to the Exhibitor, its exhibit, or any other information as the Organiser may request. If the Exhibitor fails to provide the Organiser with such information, the Organiser reserves the right to terminate the Contract with the Exhibitor. 

  1. ELIGIBLE PARTICIPANTS

Participation in the Event is open to Exhibitors who are in a position to contribute directly to the subject matter of the Event (i.e. microbiology). Exhibition Stands at the Event may be limited and are always subject to availability.  

The Organiser reserves the right to decline, prohibit, deny access or remove any exhibit which in its sole judgment is contrary to the character, objectives, and best interests of the Event, the Organiser or suitable for the Event’s attendee audience. This reservation includes, but is not limited to, any violation of any public policy or these Terms and extends to persons, things, printed matter, products, and conduct. The Organiser reserves the right to refuse applications due to concerns that the exhibit will not meet the standards required or expected of the Organiser or the Event, as well as the right to curtail exhibits or parts of exhibits that reflect against the character of the meeting. 

  1. FEES AND PAYMENTS 

  1. Invoice

At the point at which the Organiser accepts a Booking Form, it shall invoice the Exhibitor for the Fees payable by the Exhibitor for the Exhibition Stand (as set out in clause 5.2) and for any additional services requested by the Exhibitor. Invoices issued by the Organiser will contain the Exhibitor’s address and details provided by the Exhibitor in the Booking Form. The Exhibitor will be responsible for the payment of all invoices, unless approved differently by the Organiser in writing. 

If the payment for the invoice is not received by the payment due date stipulated on the invoice, or otherwise agreed by the Organiser, the Exhibitor is in default immediately and the Organiser has the right to terminate the Contract with immediate effect (without any liability to the Exhibitor) and the Exhibition Stand will be released for resale. Cancellation fees remain applicable (see Clause 12).  

The Exhibitor may not (i) set off any amounts it owes to the Organiser, whether under the contract or otherwise, against the invoice referred to in this clause (or any other invoice received from the Organiser), (ii) apply a discount; or (iii) suspend any payment. 

5.2 Fees 

The Fees payable by the Exhibitor for an Exhibition Stand are as follows:  

  • GOLD package: EUR 15,000 excl. VAT 

  • SILVER package: EUR 9,500 excl. VAT 

  • BRONZE package: EUR 5,750 excl. VAT 

  • BASIC package: EUR 4,500 excl. VAT 

For all packages and sponsorship add-ons, entitlements are as presented in the FEMS MICRO 2027 Exhibition & Sponsorship Prospectus. 

All Fees are payable in Euros (€). Invoices from Organiser are payable within 30 calendar days of the invoice date unless an alternative date is given on the invoice. Payments must be made by bank transfer to the bank details specified on the invoice. Bank fees for transfer need to be paid for in full by the payer. 

5.3 VAT guidelines*

Dutch VAT (21%) is applicable, EU reverse charge rules apply. 

  1. NL based organisations are charged 21% VAT 

  1. EU-based organisations can reverse charge the VAT when they qualify according to the EU regulations. A VAT identification number is required. Organisations without a VAT identification number are charged 21% VAT. 

Non-EU based organisations are not charged any Dutch VAT and are responsible for any local tax implications. 

*the above information is an indication and might differ per organisation and country. 

No rights can be derived from the VAT guidelines. 

  1. ALLOCATION OF EXHIBITION STANDS 

As part of the Booking Form, Exhibitors are invited to submit a preference for the location and the size of their Exhibition Stand from available spaces on the Venue floor plan. The Organiser has no obligation to offer the Exhibitor its submitted preference. The Exhibition Stand package includes a pre-defined number of free Event registrations, as presented in the FEMS MICRO 2027 Exhibition & Sponsorship Prospectus. The Organiser reserves the right to allocate or change the position of the Exhibition Stand at any time (including after conclusion of the Contract) and for any reason. The Organiser also retains the right to make any necessary changes to the size and spacing of the Exhibition Stand at any time in order to comply with the Venue’s Health & Safety Regulations. Any exchange of space between two or more Exhibitors will be subject to the prior written approval (e-mail) by the Organiser. 

The Exhibition is open from Tuesday 6 July 2027 to Thursday 8 July 2027. 

The Exhibitor shall attend the Venue to construct and decorate its Exhibition Stand on Monday 5 July 2027 and shall break down and remove its Exhibition Stand on Thursday 8 July 2027. 

Only Exhibitors and the Organiser will have access to the Venue during stand decoration hours and before the official Exhibition Opening Hours. The access hours will be confirmed by the Organiser prior to the Event.  

Exhibitors are responsible for the complete removal from the Venue of all exhibits together with all waste and rubbish, in accordance with the directions, requirements or policies of the Organiser or the Venue. Should any Exhibitor fail to remove any of the foregoing within the time stipulated by the Organiser, and in any event, no later than the end of the exhibition break down hours, the Organiser shall be entitled to remove and dispose of such materials without liability to the Exhibitor. The Exhibitor shall indemnify the Organiser in respect of all liabilities, costs and expenses thereby suffered or incurred by the Organiser and the Exhibitor shall also indemnify the Organiser in respect of any claim or liability suffered or incurred by the Organiser for failure to give possession of all or any part of the Venue to the owner on the due date.  

There will be a general and limited free wireless internet network at the Exhibition. To optimise the coverage and the speed of the internet connection, Wi-Fi will be available within the Venue. This network will only be suitable for checking e-mails, etc., but not for up- and downloading large amounts of data or showing online presentations. There will be the opportunity for the Exhibitor to order an individual wired internet connection, e.g. for downloading information or presentations. No rogue wireless internet networks are to be installed as these interfere with the overall network, causing inconvenience to all other exhibitors and participants. Violation of this will be grounds for immediate termination of the Contract by the Organiser without notice and the Exhibitor will be required to vacate the Exhibition Stand immediately and at the Exhibitor’s risk and expense. The Organiser does not provide any warranties as to network security. 

The Exhibitor acknowledges that the Organiser shall not be responsible for the failure of all or any other contracted exhibitors to attend the Event or the failure of any attendees to attend the Event for any reason.  

  1. OCCUPATION OF EXHIBITION STAND 

In the event that an Exhibitor fails to open its stand in time for the Exhibition Opening Hours, the Organisers may arrange for the Exhibition Stand and exhibits to be removed and the Exhibitors shall be liable for any costs that may be incurred by the Organisers as a result.  

In no event shall an Exhibitor be permitted to occupy an Exhibition Stand if the Fees have not been paid in full by the start of the Event.  

Should the Exhibitor be prevented by the Organiser from occupying its Exhibition Stand for any reason, all Fees paid shall be forfeited by the Exhibitor.  

In occupying the Exhibition Stand and attendance at the Event, the Exhibitor warrants that it shall: 

  • Ensure that its Exhibition Stand will be ready and all exhibits installed before the Exhibition Opening Hours.  

  • Ensure that its staff, employees, personnel, contractors or agents shall wear any badge / access pass assigned to them by the Organiser at all times during the Event whilst in the Venue. 

  • Obtain any licenses, consents, certificates, or other documents necessary for exhibiting at the Event as may be required by the Venue or the Organiser. 

  • Cooperate with the Organiser in all matters relating to the Event and occupying the Exhibition Stands.  

  • Ensure that its Exhibition Stand is open to view and staffed by competent representatives during the Exhibition Opening Hours. 

  • Observe and comply with all health and safety rules and regulations, and any security or fire safety requirements or instructions that apply at the Venue.  

  • Not interfere with any electrical, plumbing, technical or other installations of the Venue.  

  • Not do or omit to do anything which may cause the Organiser to lose any licence, authority, consent or permission on which it relies for the purpose of hosting the Event.  

  • Not use any heaters, lamps, cookers, electric extensions or any flammable or hazardous substances at the Venue.  

  • Comply with any other additional obligations as the Organiser may notify the Exhibitor from time to time.  

  • Not smoke (unless in the permitted areas), or possess or consume illegal substances in the Venue.   

The Organiser reserves the right to affix directional signs or any other signs to the Exhibition Stand that it sees fit. 

  1. ADVERTISING 

8.1 General advertising regulations

Subject always to compliance with the terms of the Contract, Exhibitors may use the Event to promote their own products and services while refraining from addressing or referring to the competition in any detrimental way. The promotional-advertising initiatives used by the Exhibitor must be relevant to the products for which the Exhibitor has been admitted to the Event. The FEMS and FEMS MICRO 2027 logo and conference branding may not be used on any advertising materials or giveaways distributed by Exhibitors.  

In the interests of all Exhibitors, distributing flyers, business cards, additional signage, digital promotion and other advertising material outside the Exhibition Stand will not be tolerated (this also includes balloons, flags, banners that exceed the stand dimensions including allowed stand height, rental of promotion screens). Where an Exhibitor wishes to advertise its products or services outside of its Exhibition Stands (for example, in the exhibition stand aisles, in the external areas of the Venue, or distributing objects that constitute advertising vehicles), The Exhibitor must have the prior written permission from the Organiser and the landlord of the Venue. Violation of these Terms will be grounds for immediate termination of the Contract by the Organiser without notice to the Exhibitor and having the Exhibition Stand vacated at the Exhibitor’s risk and expense.  

Neither attendees nor Exhibitors are permitted to promote or commission content for their own journals or other publications within the Event. Exhibitors may engage in promotional and commissioning activities within the boundaries of their own Exhibition Stands. 

Marketing messages sent to participants or attendees of the Event before, during or after the Event should not imply endorsement by the Organiser in any way nor make use of the FEMS / FEMS MICRO 2027 branding without prior written approval of the Organiser. The official event hashtag (#FEMSMICRO) should be used by Exhibitors for all promotions of attendance at the Event, however, other email addresses and social media handles used for marketing purposes may not incorporate the FEMS name.  

The Exhibitor warrants that it shall only process personal data shared to it by the Organiser for the reasons set out in the Organiser’s privacy policy and always in accordance with data protection legislation, regulation or guidance. Where the Exhibitor processes personal data it collects from delegates or attendees of the Event, it shall do so in accordance with applicable data protection legislation, regulation or guidance. 

The Exhibitor shall indemnify the Organiser for any losses, liabilities or expenses it incurs as a result of the Exhibitor’s breach of any applicable data protection legislation, regulations or guidance or any breach of this clause 8.

8.2 Political advertising 

Any form of political advertising is strictly prohibited. The Event is politically neutral and the Organiser reserves the right to remove any material that is politically controversial or likely to cause offence. Exhibitors are reminded that they are responsible for the conduct of their staff in the Venue.  

8.3 Social media/photography and video policies

The Exhibitor agrees to the use of official Event hashtag (#FEMSMICRO), in all social media messaging referring to the Event.  

The Event’s app social messaging system is not intended for commercial purposes, including mass marketing to all attendees. Messaging and meetings should be limited to targeted requests based on common interests.  

Photographing or videotaping any scientific sessions, workshops, scientific posters or delegates participating in the Event by the Exhibitor at the Event is only allowed with previous approval from the Organiser and subject to such conditions as the Organiser may stipulate from time to time. 

Sound transmissions and all kinds of audio calls, as well as the use of audio-visual, radio and/or television equipment, are permitted, provided that the volume of the devices is kept low (the maximum environmental value must not exceed 85 dB(A) as equivalent continuous sound level "Leq"). The Exhibitor is obliged to comply with any different indications, requirements or specific assessments carried out by the landlord of the Venue.  

  1. COPYRIGHT LICENSING

The Exhibitor is solely responsible for obtaining any required licenses to broadcast, perform, display, or use any materials including but not limited to music, video, designs, documents and software in its exhibit at the Event. The Exhibitor shall indemnify and hold harmless the Organiser and its contractors against all cost, expense, or liability which may arise out of or be caused by the Exhibitor’s failure to obtain requisite license or any claim received by the Organiser that the use of the materials used by the Exhibitor infringes the intellectual property rights of any third party. 

The Event, sponsor, and Exhibitor presented materials are intended for Event attendees' personal use only. Further recording, reproduction, or dissemination, in whole or part by the Exhibitor, is only allowed if this has been specifically requested in writing to the Organiser and the Organiser has given prior written consent.  

The Exhibitor grants the Organiser a perpetual, non-exclusive,  fully paid-up royalty free license to use and copy the Exhibitor’s logo, trademarks, trade names and corporate names and all intellectual property rights in any material supplied by the Exhibitor to the Organiser, for the inclusion of the same in any materials to be included or displayed in any Exhibition promotion, and for the promotion and marketing of the Event. 

Any such logos, trademarks, trade names, corporate name and/or other materials supplied by the Exhibitor shall be used by the Organiser according to the format and specifications notified to the Organiser by the relevant deadlines set out in the exhibition guidelines. If the Exhibitor fails to provide adequate format and specification information by the due date, the Organiser shall be entitled to use its own judgement as to the format and specification so as not to unreasonably delay printing and other production deadlines. 

The Organiser reserves the right to refuse the Exhibitor the opportunity to participate in future events run by the Organiser or future sponsorship opportunities if the Exhibitor fails to comply fully with these provisions. 

  1. LIABILITY, INDEMNITY AND INSURANCE

10.1 Liability of the Organiser

The Organiser has no liability for any loss, damage and/or misrepresentations caused by third parties hired by the Organiser to fulfil its obligations under the Contract. 

The Organiser will not be liable to any Exhibitor for indirect damages such as loss of profits, sales and/or interest, reputational damage, lost savings, loss of goodwill or opportunity, business interruption, and/or damage resulting from third party claims (including regulatory fines) or arising from any losses caused by the Organiser if it is in breach of these Terms.  

The Organiser’s total liability to the Exhibitor shall not exceed the Fees paid to the Organiser by the Exhibitor.  

Nothing in this agreement limits any liability for: 

(a) death or personal injury caused by negligence; 

(b) fraud or fraudulent misrepresentation; or 

(c) any liability that cannot legally be limited.  

10.2 Indemnity

Exhibitor indemnifies and hold harmless the Organiser and its affiliates, licensors, suppliers, advertisers and sponsors, and their respective directors, officers, employees, consultants, agents and other representatives, from and against any and all claims, damages, losses, costs, (including reasonable attorneys’ fees) and other expenses (on a full indemnity basis) that arise directly or indirectly out of or from the Exhibitor’s  breach of any term of this Contract. 

10.3 Health and hygiene measurements

The Organiser is not liable for any passing of infectious diseases and will take all reasonable precautionary measures and follow the guidelines of the Venue in regard to distance, stand sizes, stand allocations, health and hygiene measures. 

10.4 Damage, theft and losses

The Organiser shall not be liable whatsoever for any theft or losses which may occur during the Event (including the time dedicated to setting up the Event and moving out) and the Exhibitor expressly relieves the Organiser and its contractors for any such liability, except to the extent that such theft or loss arises from the gross negligence of the Organiser. The Exhibitor  assumes all responsibility for any damage incurred during the Event, whether intentional resulting from fraud or fault and/or imputable to its contractors, delegates or the participants at the Event unless said damage is imputable to the Organiser, its employees or suppliers. 

The Exhibitor will be responsible for forwarding in writing to the Organiser any claim relating to the Venue, provided that the claim relates to the Exhibitor’s use of the Venue for the purpose of the Event and claimed to the Organizer or its contractors no later than 15 days after the conclusion of the Event.  

The Exhibitor shall not cause or permit damage, alterations or other interventions (including drilling, printing, hanging) to the Venue or any part of the fixtures or fittings of the Venue, including any technical equipment and shall not alter or interfere (including gluing, drawing, or otherwise interfering) with the structure of the Venue (including the walls, glass surfaces, facades and platforms) without the prior written consent of the Organiser. The Exhibitor shall indemnify the Organiser fully in respect of any sums incurred by the Organiser as a result of such loss or damage.   

The Exhibitor shall ensure that its waste and any waste created as a result of its exhibit is separated into the waste baskets located in the Venue in accordance with the instructions, guidance and/or policies of the Organiser and/or the Venue staff. 

10.5 Insurance

The Exhibitor warrants that it shall maintain in force, with a reputable insurance company, the following insurance policies: 

  • Loss or damage property insurance, to cover theft, fire, accidental breakage, wetting and any material damage, whatever the cause, to protect goods, machinery, fittings and in general all the goods in its availability, during the Event of stay of such assets within the Venue. The Exhibitor warrants that this policy must provide for the waiver of subrogation clause by the Insurers towards GR - Ljubljana Exhibition & Convention Centre, as well as the Organiser, and any third party involved in the organization of the Event, except in the case of willful misconduct by the same.  

  • Third-party liability policy with an adequate limit for the risks associated with the activities associated with this Contract, to include the participation in the Exhibition and Congress among the insured activities.  

The Exhibitor shall, upon request of the Organiser, produce both the insurance certificate giving details of cover and the receipt for the current year’s premium in respect of each insurance.  

The Exhibitor shall indemnify the Organiser against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by the Organiser arising out of or in connection with an Exhibitor’s breach of this clause 10.5.  

  1. TERMS OF PAYMENT

No agency commission or cash discounts permitted. Payments are due by the deadline specified on the invoice. If payment is not received by specified date, the Exhibitor will lose reservation for the Exhibition Stand, and the Contract will be terminated immediately. The Organiser reserves the right to resell opportunities where payment is not received by the payment deadline.  

All prices quoted are net prices. The legally required VAT (if any) will be included on the invoice issued by the Organiser.  

  1. CANCELLATION/MODIFICATION POLICY 

12.1 Rescission of the contract by Exhibitor

The following cancellation terms apply from the moment the Exhibitor's booking has been confirmed by the Organiser (forming a binding contract) in accordance with clause 3, regardless of whether payment of the Fees (or any part thereof) has been made by the Exhibitor.  

In the event that the Exhibitor cancels its participation, the following terms shall apply:  

Before 1 January 2027 (25% payment):

The Exhibitor may cancel within 30 days of the date of the Organiser's booking confirmation or invoice (whichever is earlier) and receive a full refund of any amounts paid (provided this notice of cancellation is received by the Organiser on or before 1 January 2027). 

If the Exhibitor chooses to cancel after this initial 30-day period from the date on which the Exhibitor's booking is confirmed by the Organiser (and the notice of cancellation is received by the Organiser on or before 1 January 2027), the Organiser reserves the right to retain 25% of the Fees (as set out at Clause 5) as a processing and administrative fee.  

Between 2 January and 31 March 2027 (50% payment):

If the Exhibitor cancels between 2 January and 31 March 2027, the Exhibitor shall be liable for 50% of the total Fees (as set out at Clause 5).  

Any payment already made will be offset against this amount, and any outstanding balance shall become immediately due and payable by the Exhibitor. 

On or after 1 April 2027 (100% payment)

If the Exhibitor cancels on or after 1 April 2027, the Exhibitor shall be liable for 100% of the total Fees (as set out at Clause 5), and no refunds will be issued.  

General provisions

These Terms apply in all circumstances where the Exhibitor withdraws from the Contract or fails to participate in the Event for any reason.  

12.2 Termination of the contract by Organiser

In addition to the Organiser ’s rights to terminate the Contract as stipulated in these Terms without prejudice to any of the Organiser’s rights or remedies under the Contract and/or applicable law, the Organiser is entitled to terminate this Contract effective immediately, in whole or in part, without any notice of default being required (and without any refund to the Exhibitor), in the following circumstances: 

  • the Exhibitor violates the advertising regulations as stipulated in Clause 8 of these Terms; 

  • the Exhibitor fails to pay the Fees by the invoice payment date;  

  • the Exhibitor is in breach of the Terms of this Contract;  

  • the Exhibitor violates domiciliary rights of the Venue; 

  • the Exhibitor no longer conforms with the requirements for being accepted as an Exhibitor at the Event, or if Organiser subsequently becomes aware of any reasons which, when they had been known before, would have excluded that person or entity from participation; and 

  • the Event is cancelled. 

In all of those cases the Organiser is entitled to claim damages. 

12.3 Force majeure

The performance of this Contract by the Organiser is subject to the following events that are beyond the reasonable control of the Organiser, including but not limited to:  

  • War, including armed conflict;  

  • Strikes or labour disputes at the event venue;  

  • Government regulation;  

  • Disaster, fire;  

  • Infectious disease epidemics and pandemics;  

  • Terrorism or threats of terrorism;  

  • Curtailment of transportation facilities.  

Should any of these prevent or unreasonably delay at least 25% of the attendees from participating at the Event, making it thereby inadvisable, illegal, impossible or commercially impractical  to hold the Event or to fully perform the terms of this Contract, the Contract  may be terminated without penalty and with performance fully excused for any or more of these reasons by written notice from the Organiser to the Exhibitor. The Organiser will work with Exhibitors to reallocate cancelled fees to other advertising opportunities and events. Fees cannot be transferred to exhibit booth costs or activities.  

  1. GOVERNING LAW AND JURISDICTION

The Contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation will be governed by, and construed in accordance with Dutch law. Each party irrevocably agrees that the competent court in The Hague, the Netherlands shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Contract or its subject matter or formation.  

  1. GENERAL

Entire Agreement: The Contract constitutes the entire agreement between the parties.  

Severance: If any provision or part-provision of the Contract is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of the Contract.  

Waiver: A delay of failure to exercise by the Organiser, or the single or partial exercise of, any right or remedy shall not waive that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. 

Variation: No variation of this Contract shall be effective unless it is in writing and signed by the Organiser.  

Third party rights: The Contract does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract.

Both parties hereby agree to comply with all applicable laws and regulations relating to modern slavery, human trafficking, anti-bribery, anti-corruption, ethical conduct, data and privacy.
